Introduction

These Terms of Service ("Terms") set forth the rules governing your access to and use of the website lybic.ai ("Website"), our web applications, and other services (collectively, the "Services") provided by Beijing Tingyu Technology Co., Ltd. ("Company," "we," "us," or "our"), a company registered in Haidian District, Beijing. Any breach of these Terms may result in the suspension or termination of your access to the Services.

By accessing and using the Services and/or the Website, you represent that you are at least 18 years old, acknowledge that you have read and understood these Terms, and agree to be bound by them. By using or accessing the Services and/or the Website, you further represent and warrant that you have the legal capacity and authority to agree to these Terms, whether as an individual or on behalf of a company. If you do not agree to all of these Terms, do not access or use the Website or Services.

We reserve the right to modify these Terms at our sole discretion. Upon modification, we will update this page, and the revised Terms will take effect immediately upon publication. For material changes, we will notify you via your user account. You should review these Terms periodically, and the "Last modified" date at the top indicates the latest revision. If you disagree with any changes, immediately cease all access to and use of the Services and/or Website.

You and we agree that any disputes arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party shall have the right to file a lawsuit with the competent people's court in the Company's location (Haidian District, Beijing).

Service Content

We provide GUI Agent infrastructure for building AI agents capable of operating computers and smartphones. The specific Services include:

Sandbox Services: Globally distributed sandbox environments that you can deploy to your desired regions and access via a single MCP server. Supports creating/destroying sandboxes and performing actions like clicks, inputs, and screenshots within sandboxes.
MCP Servers: Ready-to-use MCP servers that integrate with your existing models and tools, eliminating the need for you to maintain additional servers.
Real-time Monitoring & Recording: Allows real-time viewing of sandbox operations, monitoring agent behavior, providing operation logs for auditing, and supporting human-in-the-loop intervention.
Multi-language & Framework Support: Enables building agents using languages like Python and TypeScript, and frameworks like LangChain and Vercel AI.

Currently, the Services are in a closed beta phase ("Closed Beta"). We reserve the right to adjust Service content, including adding, modifying, suspending, or terminating features. For adjustments during the Closed Beta, we will notify you via your account or registered contact information when reasonably possible.

Account Registration & Access

Eligibility: You must apply via the waitlist to join the Closed Beta and obtain account access after our review. During registration, you must provide true, accurate information (including but not limited to name, phone number, email, and company details) and ensure such information remains valid.
Account Management: You are responsible for keeping account information (including usernames, passwords, and API keys) confidential and for all activities conducted through your account. If you detect unauthorized account access or security vulnerabilities, immediately notify us at lybic@tingyutech.com.
Usage Limits: During the Closed Beta, we may restrict the number of sandboxes, operation frequency, and usage duration per account, as specified by the actual Services provided.

Pricing & Payment (Closed Beta Phase)

No fees apply during the Closed Beta, but we reserve the right to record your usage data (including sandbox duration and operation counts) for reference in future commercial pricing.

After the Closed Beta, we will publish pricing on the Website, and you must pay fees as agreed. Payments support online channels compliant with Chinese laws, with all fees denominated in RMB and inclusive of applicable taxes.

User Conduct Guidelines

When using the Services, you must comply with Chinese laws and these Terms, and must not:

Access or attempt to access others' sandboxes, accounts, or Service data without authorization;
Use sandboxes or Services for illegal activities (including but not limited to spreading illegal information, cyberattacks, or fraud);
Tamper with or damage Service functions/data, or disrupt Service stability via malicious programs;
Reverse-engineer, crack, or modify the Service's SDKs, APIs, or other technical components without our written permission;
Abuse sandbox resources (including but not limited to excessive server resource usage or creating numerous invalid sandboxes);
Collect, store, or process others' personal information via the Services without consent;
Engage in other activities violating these Terms or Chinese laws.

Intellectual Property

Our Rights: We own all intellectual property rights to Service technologies (including sandbox technology, MCP servers, SDKs, and APIs), software, interfaces, documentation, and related content. You are granted a non-exclusive, non-transferable right to use the Services only as specified herein.
Your Rights: You retain intellectual property rights to agent code and custom features created via the Services, but grant us a global, royalty-free license to use, copy, and display such content to provide the Services.
Third-Party Rights: You must ensure Service usage does not infringe third-party intellectual property (including but not limited to software, data, and content). You shall bear full responsibility for disputes arising from such infringement.

Data Protection & Privacy

Data Storage: Your account information, operation data, and Service-generated data are stored on servers within China, complying with laws like the Personal Information Protection Law.
Data Usage: We process your data solely to provide the Services (including sandbox operation, real-time monitoring, and troubleshooting) and implement technical measures to protect data security. After the Closed Beta, if you discontinue use, we will delete or anonymize your data at your request.
Monitoring & Recording: You agree to our real-time monitoring and recording of sandbox operations (for Service optimization, auditing, and human intervention). We will not use such records for purposes beyond Service provision unless authorized by you or required by law.

Disclaimer

Service Limitations: During the Closed Beta, the Services may be unstable or incomplete. We do not guarantee uninterrupted, accurate, or secure Service operation, and you shall assess usage risks independently.
Liability Cap: We shall not be liable for direct or indirect losses (including but not limited to lost profits or data loss) unless caused by our intentional misconduct or gross negligence.
Third-Party Risks: The Services integrate with third-party tools (e.g., LangChain, Vercel AI). You assume sole risk for using such tools, and we are not liable for their functionality or security.

Suspension & Termination of Services

Your Right to Terminate: You may request account deletion via lybic@tingyutech.com. After deletion, you will lose Service access but remain bound by obligations like data compliance.
Our Right to Terminate: We may suspend or terminate your account access without liability if you violate these Terms or laws. After the Closed Beta, we may decide whether to continue Services based on beta progress, with prior notification of such arrangements.
Post-Termination Handling: After termination, we will cease Service provision but may retain necessary data (e.g., for compliance audits) for statutory periods.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of China (excluding conflict of law rules).
Disputes arising from these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the people's court of Haidian District, Beijing.

Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Services, superseding all prior oral or written agreements.
If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in effect.
